BY-LAWS

Article I

HEADQUARTERS


The mailing address of the PIEDMONT PHOTOGRAPHY CLUB shall be decided by the Board of Directors. An appropriate location for regular meetings shall be acquired by the Board of Directors and members shall be notified in advance as to this location.

Article II

MEMBERSHIP


A- Any person interested in photography may become a member in good standing upon payment of dues.

B- Membership of any person may be suspended by an affirmative vote of the Board of Directors , when sufficient reason exists or when a member's dues are in arrears three months.

C- Any suspended member in arrears after six months, including the period of suspension, shall cease to be a member.

D- Any motion for the expulsion of any member of the Club shall be submitted first to the President of the Club in confidence, with a full statement of the evidence on which the motion is based. The President, in conjunction with the Board of Directors, shall question the accused member and have the power to decide: (1) whether the motion shall be dropped without further action; (2) whether the accused member shall be allowed to resign without report to the membership; or (3) whether the motion shall be referred to the members as a whole. If the motion is referred to the members as a whole, such motion must be carried by a two-thirds (2/3) vote at a meeting where a quorum is present. No action shall be taken in any event without notice to the accused member who shall be given an opportunity to be heard in his or her own defense.

E- It is expected of each member to know the Constitution and By-Laws.

Article III

DUES


A- The dues shall be established by the Board of Directors.

B- The dues shall be due and payable September of each year. For new members joining after September, dues will be prorated on a quarterly basis.

Article IV

NOMINATION AND ELECTION OF OFFICERS AND DIRECTORS


A- Not later than the last meeting in April, a Nominating Committee appointed by the President shall consider nominations for officers for the next year. The Nominating Committee shall consist of not less than three members in good standing who have paid dues for more than one year.

B- Any Club member in good standing who is willing to serve can be a candidate for office.

C- The procedure will be for the Nominating Committee to select candidates for President, Vice-President, Secretary, Treasurer, and Contest Chairman. In the event that the Past President is unavailable to serve on the Board of Directors in that capacity, the Nominating Committee shall also select a candidate for that position. All proposed nominees shall be approached as to their willingness to serve and their consent obtained before their names are placed on the ballot.

D- The Nominating Committee shall submit names of Nominees at the first regular meeting in May. At that time additional nominations may be made from the floor.

E- The election shall be held not later than the first regular meeting in June.

F- The new officers for the coming year shall be presented to the membership at the last meeting in June. Official installation of new officers shall take place at the Annual Banquet in August.

G. Voting shall be by secret ballot.

Article V

MEETINGS


A- Regular meetings will be scheduled as determined by majority vote of the members.

B- Special meetings may be held as required.

C- Board meetings shall be held when decided necessary by the President or other Board members.

D- All regular and business meetings of this club shall be conducted with respect towards the Officer in charge and under the guide of "Rules of Order". Any elected officer of this club shall have the right to call any member to order at any time, if need be.

Article VI

DUTIES OF OFFICERS


A- PRESIDENT - The President presides at all regular and special meetings of club, serves as Chairman of the Board of Directors, presides at its meetings, shall administer the affairs of the Club and shall endeavor to assume active leadership of club at all times. The President appoints the Chairs for all Special Committees and may appoint any past Officer of this club to serve on the Board in the event of his or her absence.

B- VICE-PRESIDENT - In the event of resignation, incapacity, death, absence or removal of the President, the Vice-President shall assume the duties of that office. The Vice President shall assist the President in all matters and shall endeavor to assume good leadership for the club at all times. The Vice President is the Chair of the Program Committee and may appoint other members in good standing to serve on that committee. The Program Committee is responsible for acquiring and scheduling programs and contests as approved by the Board of Directors.

C- PAST PRESIDENT - The Past President shall assist and advise the new officers. This officer serves on the Board of Directors and may preside at Board meetings in the event of the absence of both the President and Vice-President.

D- SECRETARY - The Secretary's duties shall include the following:

Keeping a full and accurate record of proceedings of all regular and special meetings of the club and of the Board of Directors.
Maintaining a complete and accurate record of the members in attendance at each club meeting. Keeping an up-to-date roster of club members.
Keeping a file of membership applications and announcing the acceptance of new members.
Sending out calls for special meetings of the club and for Board meetings.
Writing and distributing a newsletter ("The Viewfinder") that shall be produced not less than once per quarter and that shall include news of interest to club members, upcoming meeting topics, and a running list of contest honors.

The Secretary shall submit to the club at the last regular meeting before his or her term expires a written report of the club's activities and of his office.

E- TREASURER - The Treasurer is custodian of all moneys collected for dues, fees, and securities. The Treasurer sends out bills for dues, acknowledges their receipt, pays all bills and makes expenditures as authorized by the Board, keeps a detailed account of all receipts and disbursements, and makes an annual written report to the club of the condition of the Treasury. The annual statement shall be audited by a Finance Committee appointed by the Board.

F- CONTEST CHAIRMAN - The Contest Chairman shall schedule contests from a list voted on by the members of the club. He or she shall provide a definition of each contest at least one month in advance and shall conduct all contests with regard to Contest Guidelines. He or she shall be responsible for acquiring contest judges, counting votes, and keeping a complete and accurate record of contest entries and winners.

Article VII

DUTIES OF DIRECTORS


The Directors are the legal representatives of the club and as such, in conformity with law, shall have, hold, and administer all the property and funds thereof in trust for its uses. Their meetings shall be held at the call of the President of the Club or any four (4) Directors. The President serves as the Chairman of the Board, or in his absence the Vice-President shall serve. It is expected of each member of the Board to know the Constitution and By-Laws of the Piedmont Photography Club.
